1. Intellectual Property Rights

1.1. LEXARK owns all proprietary and intellectual property rights in this Website, including its content (e.g., text, data, graphics, logos, videos, and software) and underlying systems, except as stated in 1.2. These intellectual property rights are reserved.

1.2. Intellectual property rights in third-party content, such as journals, articles, eBooks, textbooks, or statutes, belong to their respective authors or publishers. LEXARK retains exclusive rights to any annotations, summaries, or enhancements made to such content.

2. Grant of License

2.1. You are granted, on the category of your subscription, a non-exclusive, non-transferable, worldwide license to use the website for its intended legal research purposes.

2.2. The license is personal to you and may not be transferred, distributed, or shared with third parties, whether manually or through automated means.

2.3. Your license is renewable on the category of your subscription, upon payment of the subscription fee, as determined by LEXARK. Failure to renew same terminates your access until the subscription is reactivated.

2.4. In-app purchases, such as rentals of specific content, are subject to separate fees, and you agree to pay for all such purchases.

3. Acceptable Use of the Website

3.1. You may view, reference, or print content from the Website for personal, non-commercial legal research purposes, subject to restrictions set out in Clauses 4 and 5 of these Terms of Use.

3.2. You MUST NOT:

  • Republish content in any format, except for referencing as permitted in legal research (e.g., citing case law or statutes).
  • Sell, rent, sublicense, or exploit content for commercial purposes.
  • Reproduce, duplicate, or copy content beyond fair use.

4.2. To change a registered device, contact support@lexark.com. Device changes are limited to four times during the license term.

4.3. Exceeding the device limit may result in restricted access on additional devices.

4.4. LEXARK reserves the right to review and adjust what constitutes fair usage policies at its discretion.

5. Registration and Security

5.1. You must provide accurate, current, and complete information when registering an account and must promptly update that information as required so that the information remains correct and accurate at all times.

5.2. Your user ID and password are confidential. You must keep them secure and notify LEXARK at support@lexark.com immediately of any unauthorized use.

5.3. If using the Website on behalf of another person or entity, you must confirm your authority to bind them to these Terms.

5.4. You shall be liable for any actions or losses resulting from the use of your account, including third-party usage of your account.

6. Privacy Policy

6.1. LEXARK collects personal information (e.g., during registration) for account management, service improvement, and research purposes. This information will not be sold or shared with third parties for their own use.

11. Assignment

11.1. LEXARK reserves the exclusive right to assign or transfer its rights and obligations under these Terms without prior notice or notification. However, you may not assign or transfer your rights or obligations under these Terms.

12. Force Majeure

12.1. LEXARK is not liable for failure to perform due to unforeseen events beyond its control, including acts of God, war, pandemics, natural disasters, riots, floods, or any other natural or man-made eventuality outside its control which may cause the termination of these Terms.

13. Dispute Resolution

13.1. Any disputes arising from these Terms shall first be addressed through good-faith negotiations by senior representatives of each party for at least 30 days.

13.2. Unresolved disputes shall proceed to mediation in Abuja, Nigeria, under the Nigerian Mediation Procedure Rules or mutually agreed rules.

13.3. Where mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004. The arbitration shall be held in Abuja, Nigeria, in English, with one arbitrator appointed by the Chairman of the Nigerian Branch of the Chartered Institute of Arbitrators.

13.4. Each party shall bear its own costs and equally share mediator/arbitrator fees.

13.5. This clause does not prevent seeking injunctive relief in court.

14. Governing Law

14.1. These Terms are governed by the laws of the Federal Republic of Nigeria. By accepting these Terms, you submit to the jurisdiction of Nigerian courts.

15. Enforceability

15.1. If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect.

16. Indemnity

16.1. You hereby agree to indemnify LEXARK against all claims, damages, or expenses whatsoever arising in any way related to any breach of these Terms by you.

17. Entire Agreement

17.1. These Terms constitute the entire agreement between you and LEXARK regarding the Website, superseding all prior agreements.
